Terms of Service

1. The Service (Real-Time Orchestration)

GeoLayer.io provides a B2B data orchestration platform. By using our Service, you acknowledge that we do not own the underlying public data; we provide a technical layer to extract, MX-validate (confirm the email domain accepts mail), and standardize professional information from public sources.

2. Strict No-Refund & Billing Policy

Because our Service incurs immediate computational and API orchestration costs upon every search task, we enforce a strict billing policy:

  • ALL SALES ARE FINAL. We do not offer refunds, credits, or pro-rated adjustments for any reason.
  • Unused lead credits expire at the end of each billing cycle and do not roll over.
  • Cancellation stops future billing immediately, but access remains until the cycle ends.

3. Responsible Use (Anti-Spam Warranty)

You warrant that any B2B outreach conducted using GeoLayer data will strictly adhere to the CAN-SPAM Act, GDPR, and local marketing regulations. This includes, but is not limited to: [cite: 170, 171, 172]

  • Providing a clear and functional "Unsubscribe" mechanism. [cite: 171]
  • Including your valid physical business address in all communications. [cite: 170]
  • Identifying yourself and your intent clearly without misleading subject lines. [cite: 172, 173]

4. Accuracy & Third-Party Data

GeoLayer.io orchestrates data "as-is." While we MX-validate email domains to reduce hard bounces, we do not guarantee deliverability to any individual mailbox, the uptime of third-party websites, the accuracy of business phone numbers, or the current operational status of the businesses indexed.

5. Proprietary Logic

You may not use automated scripts, "bots," or scrapers to extract data from the GeoLayer.io dashboard or public directory pages. Our "Market Opportunity" calculations and "Agency Gap" algorithms are proprietary and protected.

6. Integrations & Outbound Data Transfers

When you connect a third-party integration (Zapier, an outbound webhook, or any tool built on the public API), you authorize GeoLayer.io to transmit the lead data the integration requests to the receiving service. You are the data controller for those leads; GeoLayer.io acts as a processor on your instruction.

You are solely responsible for: (a) ensuring your use of the receiving service complies with that service's terms, (b) configuring access scopes appropriately, (c) honoring opt-out / unsubscribe requests at the receiving service, and (d) the security of outbound webhook endpoints you configure (we sign every payload with HMAC-SHA256; verifying the signature server-side is your responsibility).

You can disconnect any integration at any time from the Integrations tab of your dashboard. Disconnecting stops future transfers; data already delivered to a third-party service remains under that service's control.

7. Limitation of Liability

In no event shall GeoLayer.io, its founders, or affiliates be liable for any damages resulting from your use of the professional data provided. You are solely responsible for the legal compliance of your sales and marketing activities.
